Terms of Service
Last updated October 16, 2026
These terms govern your firm's use of LexFlow, a practice management service provided by SBT Capital LLC ("we", "us"). By creating an account or using LexFlow, the person accepting these terms confirms they may bind their firm ("you"), and that the firm agrees to them. Each person your firm invites ("user") must follow them too.
1. The service
LexFlow helps law firms manage matters, contacts, calendars, tasks, time and expenses, bills, bank and trust account ledgers, and related records. We may improve or change the service. If we remove a feature your firm relies on, we will tell you in advance where reasonably possible. Features shown as previews or "coming soon" may not work and are not part of the service until released.
2. Accounts and security
- Your firm's primary subscriber controls the account, invites users and sets their roles.
- Users must keep their credentials confidential. We strongly recommend two-step verification, and your firm can require it.
- Tell us promptly at serhiy.tkach@sbtcap.com if you suspect unauthorized access to your account.
- You are responsible for what happens under your users' accounts.
3. Your data
Your firm owns everything it puts into LexFlow, including client and matter information ("your data"). We use your data only to provide, secure and support the service, and as your firm instructs. We do not sell it, use it for advertising, or share it with other customers. We access it only when needed to keep the service running, when you ask us to (for example, for support), or when the law requires. Storing your data with us is not intended to waive attorney–client privilege or work-product protection, and we will treat it as confidential. Our Privacy Policy explains how we handle personal information.
4. Your professional responsibilities
LexFlow is a tool. It does not give legal, accounting or ethics advice, and it does not replace your judgment. Your firm remains solely responsible for complying with the rules of professional conduct and other laws that apply to it, including client confidentiality, conflict checks, calendaring deadlines, billing, and safeguarding and reconciling client trust funds. Trust account records in LexFlow should be reconciled against your bank statements regularly. Keep the records your jurisdiction requires, including after you stop using LexFlow.
5. Acceptable use
You may not use LexFlow to:
- break the law or a professional rule, or infringe anyone's rights;
- send spam or unsolicited messages, or email people who have not agreed to hear from your firm;
- upload malware, probe or attack the service, or try to access other customers' data;
- resell the service or use it to build a competing product.
We may suspend access that threatens the service, other customers or the public, and will tell you why where we lawfully can.
6. Trials, fees and payment
New firms may start with a free trial. Paid plans, their prices and billing terms will be shown before you subscribe. Fees are not refundable except where the law requires or we say otherwise in writing. We may change prices for future billing periods with at least 30 days' notice.
7. Availability, backups and support
We work to keep LexFlow available and your data safe: it is encrypted in transit and at rest, backed up continuously with point-in-time recovery for 14 days, and monitored. We do not promise uninterrupted or error-free operation. Support is available at serhiy.tkach@sbtcap.com.
8. Exporting and deleting your data
Your primary subscriber can export all of your firm's data at any time from Settings. If your firm closes its account, you may export your data for 30 days afterwards. We then delete it from the live service within 90 days, and it ages out of backups after that, unless the law requires us to keep it. You may also ask us to delete your firm's data sooner by writing to serhiy.tkach@sbtcap.com.
9. Service providers
We use carefully chosen providers to run LexFlow: Amazon Web Services (database, email delivery and storage, in the United States) and Vercel (application hosting). They process your data only to provide their services to us, under confidentiality and security obligations.
10. Disclaimers
Except as these terms expressly say, LexFlow is provided "as is", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.
11. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our total liability under these terms is limited to the fees your firm paid us in the 12 months before the claim arose. These limits do not apply to a party's fraud or willful misconduct, or to your payment obligations.
12. Indemnity
Your firm will defend and indemnify us against third-party claims arising from your data or from your firm's or its users' breach of these terms or of the law.
13. Term and termination
These terms apply while your firm uses LexFlow. Either party may end them at any time; your primary subscriber can do so by writing to serhiy.tkach@sbtcap.com. We may end them on 30 days' notice, or immediately for a material breach that is not cured within 10 days of notice. Sections 3, 4, 8 and 10 to 15 survive.
14. Changes to these terms
We may update these terms. We will give at least 30 days' notice of material changes by email or in the app. Continuing to use LexFlow after a change takes effect means you accept it.
15. Governing law
These terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The state and federal courts located in the State of Washington have exclusive jurisdiction over any dispute about them, and both parties consent to that jurisdiction.
